End‑User License Agreement (EULA)

Effective Date: February 24, 2025

1. License Grant
QuickShort Utilities (“Licensor”) hereby grants you (“Licensee”) a non‑exclusive, non‑transferable, revocable license to download, install, and use the QuickShort Utilities software application (“Software”) solely for your personal or internal business purposes, subject to the terms and conditions of this Agreement. Your use of the Software constitutes your acceptance of this Agreement.

2. License Restrictions
You agree not to:

• Copy, modify, or create derivative works of the Software, except as expressly permitted.

• Reverse engineer, decompile, or disassemble the Software, except where expressly allowed by law.

• Rent, lease, sublicense, distribute, or otherwise transfer the Software to any third party.

• Remove, obscure, or alter any proprietary notices or labels on the Software.

3. Ownership
All rights, title, and interest in and to the Software—including all intellectual property rights—are and shall remain the exclusive property of QuickShort Utilities and its licensors. This Agreement does not convey any rights of ownership in the Software.

4. Updates and Maintenance
QuickShort Utilities may provide updates, patches, or new versions of the Software at its discretion. Such updates are deemed part of the Software and subject to the terms of this Agreement unless otherwise provided.

5. Third‑Party Components
The Software may incorporate third‑party components that are subject to separate license terms. Your use of those components is governed by their respective terms, which are hereby incorporated by reference.

6. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. QUICKSHORT UTILITIES DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR‑FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUICKSHORT UTILITIES, ITS SUPPLIERS, AFFILIATES, OR LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY DAMAGES WHATSOEVER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE USE OR PERFORMANCE OF THE SOFTWARE. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF QUICKSHORT UTILITIES EXCEED THE AMOUNT PAID, IF ANY, BY YOU FOR THE SOFTWARE.

8. Indemnification
You agree to indemnify, defend, and hold harmless QuickShort Utilities, its affiliates, officers, agents, and employees from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from your use of the Software or your breach of this Agreement.

9. Termination
This Agreement is effective until terminated. Your rights under this Agreement will automatically terminate without notice if you fail to comply with any term herein. Upon termination, you must immediately cease all use of the Software and destroy all copies in your possession or control. Termination does not limit any rights or remedies available to QuickShort Utilities under applicable law.

10. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction] without regard to conflict of law principles. Any disputes arising out of or in connection with this Agreement shall be resolved exclusively in the courts located in [Your Jurisdiction], and you hereby consent to the personal jurisdiction of such courts.

11. Entire Agreement
This Agreement constitutes the entire agreement between you and QuickShort Utilities regarding the Software and supersedes all prior or contemporaneous communications, whether electronic, oral, or written. If any provision of this Agreement is deemed unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remainder will remain in full force and effect.

12. Amendments
QuickShort Utilities reserves the right to modify or update this Agreement at any time. Any changes will be effective immediately upon posting the revised terms on our website. Your continued use of the Software constitutes acceptance of the modified terms.
