End‑User License Agreement (EULA)

Applies To: All downloadable software and apps published by QuickShort Ltd.

1. Overview

This End‑User License Agreement (“Agreement”) is a legal contract between you (“Licensee” or “you”) and QuickShort Ltd (“QuickShort,” “Licensor,” “we,” or “us”), governing your use of any QuickShort software product, including desktop apps, mobile apps, tools, and AI-powered features (collectively, the “Software”).

By downloading, installing, or using the Software, you accept this Agreement. If you do not agree, do not install or use the Software.

2. License Grant

Subject to your compliance with this Agreement, QuickShort Ltd grants you a limited, non-exclusive, non-transferable, revocable license to:

Install and use the Software on a compatible device that you own or control.
Use the Software for personal or internal business purposes only.
Access purchased or trial features, as permitted under the applicable license tier.

This license does not include any resale, redistribution, white-labeling, or commercial exploitation rights unless separately licensed.

3. License Restrictions

You may not:

Copy, distribute, modify, or create derivative works based on the Software.
Reverse-engineer, decompile, or disassemble the Software, except as legally permitted.
Circumvent licensing or activation mechanisms.
Lease, rent, sublicense, or host the Software for others.
Remove or obscure copyright, trademark, or proprietary notices.
Use AI features to generate or publish harmful, defamatory, or illegal content.

4. Ownership and Intellectual Property

The Software is licensed, not sold. All rights, title, and interest—including all intellectual property rights—in the Software, its source code, assets, interfaces, and documentation, remain with QuickShort Ltd and its licensors.

You may not claim any ownership of AI-generated or assisted content unless explicitly granted under a separate creative license.

5. Updates and Support

QuickShort Ltd may provide:

Bug fixes and updates (mandatory or optional)
Feature enhancements or AI improvements
New versions with expanded compatibility

All updates are governed by this Agreement unless accompanied by separate terms. We are not obligated to provide ongoing support unless contractually agreed.

6. Third‑Party Components and Open Source

The Software may include components subject to open-source or third-party licenses. These are governed by their respective terms, which:

Are incorporated by reference
May override parts of this Agreement as required
Will be disclosed in the Software documentation or installation folder

Use of such components is at your own risk, and QuickShort Ltd disclaims liability for third-party behavior.

7. Internet and AI-Driven Features

Some features require internet access, including:

AI-powered services (e.g., track naming, mastering, video merging)
Analytics or usage reporting
In-app purchases or licensing

You acknowledge and accept that:

These features may rely on third-party AI platforms (e.g., OpenAI, local ML libraries).
QuickShort does not guarantee the accuracy, ownership, or suitability of AI-generated results.
Use of AI features is governed by our Privacy Policy and may include anonymized data sharing.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND.
WE DISCLAIM ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING:

MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON‑INFRINGEMENT
UNINTERRUPTED OR ERROR‑FREE USE
SUITABILITY OF AI-GENERATED OUTPUT

No oral or written information given by QuickShort Ltd creates any warranty not expressly stated herein.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUICKSHORT LTD AND ITS AFFILIATES SHALL NOT BE LIABLE FOR:

INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
LOSS OF DATA, REVENUE, PROFITS, OR BUSINESS INTERRUPTION
DAMAGES FROM UNAUTHORIZED ACCESS OR SECURITY BREACHES
AI OUTPUT MISUSE OR THIRD-PARTY PLATFORM FAILURES

TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID (IF ANY) FOR THE SOFTWARE IN THE PRIOR 12 MONTHS.

10. Indemnification

You agree to indemnify and hold harmless QuickShort Ltd, its officers, developers, and affiliates against any claims, damages, or liabilities (including legal fees) arising from:

Your violation of this Agreement
Your misuse of the Software
Your use of AI features for prohibited or harmful purposes
Your breach of any applicable law or regulation

11. Termination

This Agreement is effective until terminated. QuickShort Ltd may terminate it:

Automatically if you breach any term
At any time, with or without notice, for compliance or misuse reasons

Upon termination, you must:

Stop all use of the Software
Delete all copies from your devices
Revoke any associated API keys or access tokens

12. Export and Compliance

You may not use, export, or re-export the Software in violation of any applicable export laws or regulations, including:

UK Export Control
EU Dual-Use Regulations
U.S. Export Administration Regulations (if applicable)

13. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of England and Wales, without regard to conflict of law principles.

Any dispute shall be resolved exclusively in the courts of the United Kingdom. If you reside outside the UK, you waive any objection to the jurisdiction and venue of such courts.

14. Entire Agreement

This Agreement constitutes the entire agreement between you and QuickShort Ltd regarding the Software and supersedes any prior agreements or representations.

If any part of this Agreement is found unenforceable, the remainder shall remain valid and in full force.

15. Amendments

QuickShort Ltd reserves the right to modify or update this Agreement at any time. The current version will always be available at:

Continued use of the Software after any update constitutes your acceptance of the new terms.
